Who we are

Sorcerer Solutions is a service of Neotheos Inc., a Canadian federal corporation under the Canada Business Corporations Act. The registered office is 1665 Four Mile Creek Rd, Unit 7, Niagara-on-the-Lake, ON L0S 1J0.

In these terms, “we” means Neotheos Inc. The site is sorcerer.solutions.

Use of the site

The site describes fixed-scope consulting, lets you request an estimate or submit a budget, and keeps the record of that request if you have an account. Use it for lawful purposes. These terms apply to use of the site. They are not themselves a contract for delivery of work.

Accounts

Give accurate information when you create an account, and keep it accurate. Keep your password to yourself. You are responsible for activity under the account.

We may suspend or lock an account that is misused, including attempts to disrupt the site, uploads you have no right to share, or use of the site to harass. We may refuse a registration that is not a genuine request for work.

Estimates and budgets

An estimate we publish or send, and a budget you submit, are information. They are not offers and they are not contracts. A published price range or duration is a guide to the packages on the site.

An engagement starts only when both parties sign a written scope. That scope then governs deliverables, price, schedule, payment, intellectual property, and confidentiality. Until it is signed, neither side is obliged to do the work or to pay for it.

Uploaded files

You confirm that you have the right to share anything you upload. We use uploaded files only to prepare the estimate or to deliver the work. Do not upload information you are not permitted to share.

The limit is 25 MB per file and 20 files per quote. Company files stored on the account follow the same size limit, and a limit of 20 files. Accepted types are PDF, PNG, JPG, JPEG, DOCX, XLSX, TXT, MD, and ZIP.

Prices

Prices are in US dollars for clients in the United States, and in Canadian dollars for Canada and every other country, before tax. An invoice is due on the date printed on it. Unless that invoice names a different date, it is due 15 days after it is issued. GST or HST is charged where it applies.

Travel. Work is remote unless the written scope says otherwise. When on-site work is agreed, the client pays for travel and accommodation, either directly or reimbursed at cost, as the written scope sets out.

Acceptable use

Do not try to break, probe, or overload the site. Do not upload malware. Do not use the site to send spam or to harass. Do not create an account with information you know is false. Do not attempt to read another customer’s quotes, files, or messages.

Intellectual property

The text, graphics, and software on the site are owned by Neotheos Inc. or its licensors, and are protected by Canadian and international intellectual property laws. You may use the site to decide whether to hire us. You may not copy the site design or content for your own commercial site.

Files you upload remain yours. We do not take ownership of them by receiving them. Intellectual property in anything we deliver is set in the written scope, not in these terms.

Disclaimer and limitation of liability

The site and its content are provided as is. We do not warrant that the site will be uninterrupted or free of errors. Published ranges and on-screen figures are descriptions of packages, not a promise that a particular job will cost a particular amount or finish in a particular time.

To the extent permitted by law, Neotheos Inc. is not liable for damages arising from your use of the site. This limit is about the site. It does not rewrite a written scope both parties have signed. Nothing here excludes liability that the law does not allow us to exclude.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts of Ontario have jurisdiction. A written scope may repeat this, or it may set the same point in its own words. If a scope is silent, this clause still governs these terms.

Changes

We may update these terms by posting a new version on this page. The effective date below is the date of this version. Continued use of the site after a change means you accept the posted terms for use of the site. A scope that is already signed keeps the bargain in that scope.
